# OnlineAlgoTrading.com — Terms and Conditions

By accessing or using OnlineAlgoTrading.com (the "**Site**," "**we**," "**us**," or "**OAT**") or any of our products, including Trading Signals, Copy Trading, and the Automated Trading Bot (collectively, the "**Services**"), you agree to be bound by these Terms and Conditions ("**Terms**"). If you do not agree, do not use the Site or the Services.

## 1. Eligibility

- You must be at least 18 years of age to use this Site or subscribe to the Services. - You must have the legal capacity to enter into a binding agreement. - By clicking "Accept," "Subscribe," "Proceed," or similar, you acknowledge that this constitutes your electronic signature and acceptance of these Terms. - You agree to use the Site only for lawful purposes and to provide accurate, current, and complete information when creating an account or subscribing.

## 2. Educational & Informational Purpose Only — No Investment Advice

All content on this Site — including Trading Signals, Copy Trading feeds, Automated Trading Bot outputs, AI-generated commentary, confidence scores, market analysis, and any related materials (collectively, the "**Information**") — is provided **solely for educational and informational purposes**.

- OAT is **not** a registered broker-dealer, investment adviser, commodity trading advisor, or financial planner in any jurisdiction. - Nothing on this Site constitutes financial, investment, legal, or tax advice, nor a solicitation or recommendation to buy or sell any financial instrument. - All trading decisions you make are made independently and at your own discretion and risk. - You should consult a licensed financial advisor before making any trading or investment decisions.

## 3. Risk Disclosure

**Trading forex, gold (XAUUSD), CFDs, futures, and other leveraged instruments carries a high level of risk and may not be suitable for all investors.**

- You may lose some or all of your invested capital. Do not trade with money you cannot afford to lose. - **Leverage risk:** Leverage can amplify both gains and losses. Small market movements can result in large losses relative to your account size. - **Market risk:** Prices can move rapidly and unpredictably due to news, economic data, geopolitical events, or low liquidity. - **Slippage & execution risk:** Orders (including those generated by the Automated Trading Bot or copy-traded automatically) may be filled at prices different from those signaled, especially during volatility or low liquidity. - **Technology & system risk:** Signal delivery (e.g., via Telegram), bot execution (e.g., via MT5 Expert Advisors), and copy-trading connections depend on third-party infrastructure (brokers, internet connectivity, Telegram, VPS/hosting providers) and may fail, be delayed, or be interrupted without notice. - **No guarantee of profit:** No trading system, signal service, or automated strategy can guarantee profits or protection against losses. Past performance — whether actual, hypothetical, or backtested — is not indicative of future results. - Any performance figures, win rates, pip counts, or testimonials shown on the Site or in marketing materials are illustrative or based on historical/backtested data unless explicitly stated otherwise, and should not be relied upon as a predictor of future results.

**Hypothetical/Simulated Performance Disclaimer:** Hypothetical or simulated performance results have inherent limitations. Unlike an actual performance record, simulated results do not represent actual trading and may not reflect the impact of slippage, liquidity, or other real-market factors. No representation is made that any account will or is likely to achieve profits or losses similar to those shown.

## 4. Our Services

OAT offers subscription-based access to one or more of the following product tiers (as described on the Site and subject to change):

1. **Trading Signals** — Delivery of trade ideas (e.g., entry, take-profit levels, stop-loss, and commentary) via the Site, dashboard, and/or Telegram. 2. **Copy Trading** — A service allowing your brokerage account to automatically mirror trades generated by OAT's strategies, subject to your broker's execution and your own risk settings. 3. **Automated Trading Bot** — A licensed software product (e.g., an Expert Advisor) that executes trades automatically on your trading platform based on predefined logic.

You are solely responsible for: - Selecting a broker and maintaining sufficient funds and appropriate risk settings in your own trading account. - Reviewing and understanding how each product operates before enabling it on a live account. - Monitoring your account activity, even when using automated or copy-trading features.

We strongly recommend testing any signal, strategy, or bot on a **demo account** before use on a live account. **Some features or strategies may be provided on a beta or "as-is" basis and may not have been extensively tested in live trading environments.**

## 5. Subscriptions, Payment, Refunds & Cancellation

- Subscription fees are billed in advance (monthly, or per the billing cycle selected at checkout) via our payment processor. - **All subscription fees are final and non-refundable, in full, under all circumstances**, including but not limited to dissatisfaction with performance, trading losses, early cancellation, non-use of the Services, or account suspension/termination for violation of these Terms. No partial, prorated, or exceptional refunds will be issued. - You may cancel your subscription at any time through your account dashboard to stop **future** billing. Cancellation does not entitle you to a refund of any amount already charged, including the current billing period. - We reserve the right to modify subscription pricing, with advance notice to existing subscribers before the change takes effect on their next billing cycle. - Promotional/referral discount codes are subject to the terms displayed at the time of redemption and may not be combined unless stated. - Failure to pay may result in immediate suspension or termination of access to the Services, without refund.

## 6. Account Security

- You are responsible for maintaining the confidentiality of your login credentials and any two-factor authentication (2FA) method associated with your account. - Accounts are personal to the registered subscriber. You agree not to share, sell, rent, or transfer your account, login credentials, or Telegram channel access to any other person. - We reserve the right to monitor for signs of unauthorized account sharing (e.g., simultaneous logins, device/IP patterns) and to suspend or terminate accounts found in violation, without refund. - 2FA or access resets will only be processed after reasonable identity verification.

## 7. Intellectual Property & Software License

All content, trading strategies, signal logic, source code, algorithms, branding (including "Aurum Pro AI" and associated marks), and materials on the Site are the exclusive property of OAT or its licensors and are protected by applicable intellectual property laws.

**If you are provided access to the Automated Trading Bot (software/EA) under a license or lease:**

- The software is licensed to you for personal, non-commercial use on your own trading account(s) only, and remains the property of OAT. - You may **not**: reverse-engineer, decompile, or disassemble the software; attempt to bypass licensing or security mechanisms; modify or create derivative works from it; or use it (or knowledge derived from it) to build or support a competing product or service. - You may **not** copy, resell, sublicense, or redistribute the software, signals, or strategy logic to any third party. - Unauthorized commercial use or distribution may result in termination of access and legal action to recover damages.

## 8. Prohibited Conduct

You agree not to:

- Use the Site or Services for any unlawful purpose; - Attempt to access, scrape, or copy Site content using automated tools without our written permission; - Interfere with or disrupt the Site, our infrastructure, or other users' accounts; - Misrepresent your identity or share false account information; - Resell, redistribute, or publicly republish Signals, Copy Trading feeds, or Bot access without authorization; - Introduce malware, viruses, or engage in any activity that could harm the Site or its users.

We reserve the right to suspend or terminate access for any violation of these Terms, without refund.

## 9. Testimonials & Marketing Content

Testimonials, case studies, or performance highlights shared on the Site or in marketing materials reflect individual experiences and are **not representative of typical results**. Trading outcomes vary based on market conditions, risk management, capital, and individual decisions. A majority of retail traders experience losses; results are not guaranteed.

## 10. Privacy & Data Collection

We collect and use personal and technical information (e.g., name, email, IP address, browsing and usage data, payment information via our processor) to operate the Site, deliver the Services, process payments, and communicate with you. We do not sell your personal data. Details are set out in our separate **Privacy Policy**, which forms part of these Terms. By using the Site, you consent to that collection and use.

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE, SIGNALS, COPY TRADING, OR BOT WILL BE UNINTERRUPTED, ERROR-FREE, OR PROFITABLE.

## 13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, OAT, ITS OWNERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF TRADING CAPITAL, PROFITS, OR DATA — ARISING FROM YOUR USE OF, OR INABILITY TO USE, THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SERVICES IS TO STOP USING THEM AND CANCEL YOUR SUBSCRIPTION.

You agree to indemnify and hold harmless OAT, its owners, employees, and affiliates from any claims, losses, liabilities, or expenses (including legal fees) arising from your use of the Site or Services, your trading decisions, or your violation of these Terms.

## 15. Modifications

We may update these Terms, pricing, or the Services at any time. Material changes will be posted on the Site, and continued use after such changes constitutes acceptance of the revised Terms.

## 16. U.S. & Canadian User Disclosures

OAT makes the Services available to users in both the United States and Canada. The following applies in addition to the sections above:

- **Educational content only.** As stated in Section 2, nothing on the Site constitutes financial, investment, or trading advice. OAT is not a registered broker-dealer, futures commission merchant, introducing broker, commodity trading advisor (CTA), commodity pool operator (CPO), or investment adviser with the U.S. Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), the U.S. Securities and Exchange Commission (SEC), the Ontario Securities Commission (OSC), the Canadian Investment Regulatory Organization (CIRO), or any other regulator in the U.S. or Canada. - **No solicitation.** The Services are not a solicitation to open a trading account, execute trades, or invest with any specific broker, and OAT does not receive discretionary control over your funds or trading account. - **User suitability.** Futures, forex, and CFD trading carry a high risk of loss and are not suitable for all investors. U.S. users should be aware that CFTC/NFA rules generally require that promotional and hypothetical performance materials disclose the risks of trading and the limitations of hypothetical results (see Section 3). Canadian users should be aware that no offering under these Services has been reviewed or approved by the OSC, CIRO, or any other Canadian securities or derivatives regulator. - **Jurisdictional restrictions.** If your country, state, or province restricts or prohibits access to signal, copy-trading, or automated-trading services of this kind, you are solely responsible for confirming your eligibility to use the Services before subscribing. OAT reserves the right to restrict access to users in any jurisdiction at its discretion.

## 17. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. If you access the Services from the United States, you additionally agree that any dispute may, at OAT's election, be brought in the courts of Ontario, Canada, and you consent to that jurisdiction and venue. Any disputes shall otherwise be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
